1. Introduction

1. Introduction and Overview

These Terms govern only your use of the Site. CAMLfort's professional consulting services, including but not limited to risk and regulatory roadmaps, audit preparation, licensing support, system integration and customization, financial crime and anti-money laundering (AML) frameworks, compliance program development, and investor-ready compliance service,s are provided pursuant to separate written agreements, engagement letters, or master services agreements (each, an "Engagement").

In the event of any conflict or inconsistency between these Terms and a duly executed Engagement, the terms of the Engagement shall prevail with respect to the specific services contracted thereunder. These Terms continue to govern your use of the Site at all times.

 

2. Definitions

For the purposes of these Terms:

  • "Content" means all information, text, graphics, photographs, images, videos, audio, software, code, data, and other materials available on or through the Site.

  • "Engagement" means a formal written agreement between you and CAMLfort for the provision of professional services.

  • "Personal Data" has the meaning set forth in applicable data protection laws, including the General Data Protection Regulation (GDPR) and UAE/GCC data protection regulations.

  • "Site" means the website www.camlfort.com and all associated pages, domains, and subdomains.

  • "Submissions" means any content, materials, feedback, or information you provide to us through the Site.

  • "Website Documents" means these Terms together with our Privacy Policy and Cookie Notice.

5.1 Information Only

All Content available on the Site, including but not limited to articles, white papers, case studies, blog posts, regulatory updates, guides, templates, and other resources, is provided for general informational and educational purposes only.

IMPORTANT: The Content on the Site does not constitute and should not be construed as:

  • Legal advice or legal opinion;

  • Regulatory, compliance, or supervisory guidance;

  • Tax, accounting, or auditing advice;

  • Investment, financial, or business advice;

  • Professional recommendations tailored to your specific circumstances.

5.2 Client Relationship

To obtain professional advice or services from CAMLfort tailored to your specific needs, you must enter into a formal Engagement with us following our standard client onboarding process, including know-your-client (KYC) and conflicts checks. Alternatively, you should consult with your own qualified professional advisers.

 

6. Changes to the Site and Terms of Use

 

6.1 Right to Modify

CAMLfort reserves the right, in its sole discretion, to:

  • Modify, update, suspend, or discontinue any aspect of the Site at any time, with or without notice;

  • Revise these Terms at any time by posting updated Terms on the Site;

  • Change the availability of any features, Content, or functionality.

 

6.2 Notice of Material Changes

When we make material changes to these Terms, we will:

Subject to your compliance with these Terms, CAMLfort grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Site and its Content solely for your personal, internal business purposes.

 

8.3 Restrictions on Use

Except as expressly permitted by these Terms or as required by applicable mandatory law, you may not:

  1. Copy, reproduce, duplicate, download (except for temporary caching), or distribute any Content;

  2. Modify, adapt, translate, reverse engineer, decompile, or disassemble any Content;

8.5 Reservation of Rights

All rights not expressly granted in these Terms are reserved by CAMLfort and our licensors. Nothing in these Terms transfers any ownership rights to you.

 

9. User Submissions and Feedback

 

9.1 Types of Submissions

When you use contact forms, file uploads, surveys, comment features, or other interactive tools on the Site, you may provide information, materials, feedback, suggestions, or other content to CAMLfort (collectively, "Submissions").

 

9.2 Your Representations

By making any Submission, you represent and warrant that:

  5. All factual statements in the Submission are accurate and not misleading.

 

9.3 License Grant

By providing any Submission, you grant CAMLfort a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Submission in any media or format, for the purposes of:

  1. Responding to your inquiries and communications;

  2. Assessing your needs and providing or offering services;

  3. Improving, developing, and enhancing the Site and our services;

  4. Internal business purposes, including analytics and research;

  5. Any other purposes described in the Website Documents.

 

9.4 Treatment of Confidential Materials

We do not claim ownership of confidential client materials submitted pursuant to an Engagement. Such materials are governed by the terms of your Engagement agreement and our Privacy Policy. You should not upload highly sensitive, confidential, or proprietary information through general Site contact forms or unencrypted channels.

 

10. Acceptable Use Policy

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Site:

  1. In any way that violates any applicable state, local, or international law or regulation;

  2. In any manner that could damage, disable, overburden, or impair the Site or interfere with any other party's use of the Site;

  3. To transmit, or procure the sending of, any advertising or promotional material without our prior written consent;

  4. To impersonate or attempt to impersonate CAMLfort, a CAMLfort employee, another user, or any other person or entity;

  5. In any way that infringes upon the rights of others or restricts or inhibits anyone's use or enjoyment of the Site.

 

11. Prohibited Activities

You specifically agree not to:

  1. Violate Laws or Regulations: Use the Site in violation of any applicable laws, regulations, sanctions, or export control restrictions, including those imposed by the United Arab Emirates, Gulf Cooperation Council countries, United Kingdom, European Union, United States, or any other relevant jurisdiction;

  2. Introduce Malicious Code: Upload, transmit, or introduce any viruses, trojans, worms, malware, ransomware, or other malicious or technologically harmful material;

  3. Unauthorized Access: Attempt to gain unauthorized access to the Site, servers, systems, networks, or databases connected to the Site, or to any other user's account or information;

  4. Interfere with Operations: Engage in any activity that disrupts, degrades, or interferes with the functionality, security, or performance of the Site or our systems;

  5. Misrepresentation: Misrepresent your identity, affiliation, or the source of any Submission;

  6. Automated Access: Use any robot, spider, scraper, crawler, or other automated means or interface not provided by us to access the Site or extract data;

  7. Circumvent Security: Attempt to circumvent, disable, or interfere with security-related features of the Site or features that prevent or restrict the use or copying of Content;

  8. Reverse Engineering: Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of the Site (except where prohibited by law);

  9. Harmful Content: Post, transmit, or make available any content that is:

    • Unlawful, defamatory, libelous, or fraudulent;

    • Discriminatory or hateful based on race, ethnicity, religion, gender, disability, or other protected characteristics;

    • Infringing upon intellectual property or other proprietary rights;

  10. Commercial Exploitation: Use the Site for any commercial purpose not expressly authorized by these Terms or by CAMLfort in writing.

 

11.1 Enforcement

We reserve the right to investigate violations of these Terms and to take appropriate action, including but not limited to:

  • Removing offending Submissions;

  • Reporting violations to law enforcement authorities;

  • Taking legal action to protect our rights and interests.

The Site may contain links to third-party websites, services, applications, or resources ("Third-Party Resources"), or may embed third-party tools such as maps, scheduling widgets, analytics services, video players, or social media features.

  • Subject to the terms of use, privacy policies, and other policies of those third parties;

  • Your responsibility is to review and understand such third-party terms.

13. Representations and Warranties

By using the Site, you represent and warrant that:

14.2 Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CAMLFORT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  1. IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;

  2. WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF CONTENT;

  3. WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;

  4. WARRANTIES THAT DEFECTS WILL BE CORRECTED;

  1. INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;

  2. LOSS OF PROFITS, REVENUE, OR ANTICIPATED SAVINGS;

  3. LOSS OF BUSINESS, CONTRACTS, OR COMMERCIAL OPPORTUNITIES;

  4. LOSS OR CORRUPTION OF DATA OR INFORMATION;

  5. LOSS OF OR DAMAGE TO GOODWILL OR REPUTATION;

  6. BUSINESS INTERRUPTION OR DOWNTIME;

  7. COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES;

ARISING OUT OF OR RELATING TO:

  • These Terms;

  • Your use of or inability to use the Site;

  • Any Content obtained through the Site;

  • Any conduct or content of any third party on the Site;

  • Unauthorized access to or alteration of your transmissions or data;

 

15.2 Aggregate Liability Cap

THE TOTAL AGGREGATE LIABILITY OF THE CAMLFORT PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE GREATER OF:

  • ONE HUNDRED UNITED STATES DOLLARS (USD $100); OR

  • THE MINIMUM AMOUNT PERMITTED BY APPLICABLE LAW.

15.3 Essential Purpose

YOU ACKNOWLEDGE AND AGREE THAT THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION ARE FUNDAMENTAL ELEMENTS OF THE AGREEMENT BETWEEN YOU AND CAMLFORT.

 

15.4 Exceptions

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for:

  • Fraud or fraudulent misrepresentation;

  • Willful misconduct or gross negligence;

  • Any other liability that cannot be excluded or limited under applicable law.

 

15.5 Jurisdictional Variation

Some jurisdictions do not allow the limitation or exclusion of certain types of liability or damages. In such jurisdictions, the limitations and exclusions in this section apply only to the fullest extent permitted by applicable law.

 

16. Indemnification

 

16.1 Your Indemnification Obligation

You agree to indemnify, defend (at CAMLfort's option), and hold harmless the CAMLfort Parties from and against any and all claims, actions, proceedings, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

  1. Your access to or use of the Site;

  2. Your Submissions or any content you provide;

  3. Your breach or alleged breach of these Terms;

  4. Your violation of any law, regulation, or rights of any third party;

  5. Your negligence, willful misconduct, or fraud;

  6. Any claim that your Submissions caused damage to or infringed the rights of a third party.

 

16.2 Defense and Settlement

CAMLfort reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully with CAMLfort in the defense of any such claim. You may not settle any claim without CAMLfort's prior written consent.

 

16.3 Notice

You agree to promptly notify CAMLfort of any claim for which you may be required to provide indemnification under this section.

 

17. Controls and Sanctions Compliance

17.1 Compliance Obligations

You represent, warrant, and covenant that you will comply with all applicable export control laws, regulations, and sanctions programs, including but not limited to:

  1. Sanctions administered by the U.S. Office of Foreign Assets Control (OFAC);

  2. European Union controls and sanctions;

  3. UAE/GCC controls and economic sanctions;

  4. United Nations sanctions programs;

  5. Any other applicable control or sanctions regime.

 

17.2 Prohibited Users

You may not access or use the Site if you:

  1. Are located in, organized under the laws of, or a resident or national of any country or territory subject to comprehensive sanctions (including, as of the date of these Terms, Cuba, Iran, North Korea, Syria, or the Crimea, Donetsk, or Luhansk regions);

  2. Are identified on any government restricted party list, including:

    • OFAC Specially Designated Nationals (SDN) List;

    • EU Consolidated Financial Sanctions List;

    • UK HM Treasury Sanctions List;

    • Any other applicable denied party or restricted party list;

  3. Are owned or controlled by, or acting on behalf of, any such person or entity.

 

17.3 Prohibited Uses

You agree not to:

  • Use the Site in any manner that would cause CAMLfort to violate any applicable export control or sanctions laws;

  • Transfer or re-export any Content or information obtained from the Site in violation of export control or sanctions laws;

  • Access the Site from a prohibited jurisdiction using technology intended to circumvent sanctions or export controls.

 

18. Service Information, Proposals, and Engagements

 

18.1 Illustrative Nature

All descriptions of services, case studies, methodologies, processes, publications, and other materials on the Site are provided for illustrative and informational purposes only. They do not constitute binding offers or commitments.

 

18.2 Binding Terms

No specific terms regarding fees, pricing, scope of work, deliverables, service level agreements (SLAs), timelines, or other commercial terms are binding unless and until:

  1. Set forth in a formal written proposal; AND

  2. Executed in a signed Engagement agreement.

 

18.3 Client Onboarding

Before entering into any Engagement, CAMLfort reserves the right to conduct:

  • Know-your-client (KYC) and anti-money laundering (AML) due diligence;

  • Conflicts of interest checks;

  • Background verification procedures;

  • Credit and reference checks;

  • Any other due diligence procedures we deem appropriate.

 

18.4 Right to Decline

CAMLfort reserves the right, in its sole discretion, to:

  • Decline any request for services;

  • Refuse to enter into an Engagement;

  • Terminate discussions or negotiations at any time prior to execution of an Engagement;

  • Impose conditions or requirements as a prerequisite to providing services.

 

18.5 No Guarantee of Acceptance

Contact through the Site or receipt of a proposal does not guarantee that CAMLfort will enter into an Engagement with you.

 

19. Confidential Information and Data Security

 

19.1 Information Submitted via Site

Non-public information you provide through the Site's contact forms, inquiry forms, or other general communication channels is collected, used, and protected in accordance with our Privacy Policy.

 

19.2 Engagement-Specific Confidentiality

More comprehensive confidentiality obligations applicable to:

  • Client materials and proprietary information;

  • Access to systems, data rooms, or confidential documents;

  • Sensitive business or technical information;

are outlined in your executed Engagement agreement and governed by any applicable non-disclosure agreement (NDA).

 

19.3 Security Measures

While we implement reasonable technical and organizational measures to protect information submitted through the Site, no method of electronic transmission or storage is completely secure. You acknowledge and accept the inherent risks of transmitting information over the internet.

 

19.4 Breach Notification

In the event of a data breach that may affect information you have provided, we will comply with applicable data breach notification requirements as set forth in our Privacy Policy and applicable law.

 

20. Termination and Suspension

 

20.1 Termination by CAMLfort

We reserve the right to suspend or terminate your access to the Site, in whole or in part, immediately and without prior notice or liability, for any reason or no reason, including but not limited to if:

  1. You breach any provision of these Terms;

  2. We reasonably believe you pose a security risk to the Site, our systems, or other users;

  3. You engage in fraudulent, abusive, or unlawful activity;

  4. We are required to do so by law or legal process.

  5. We cease operating the Site or any portion thereof;

  6. We determine, in our sole discretion, that continuing your access would be harmful to our business, reputation, or other users.

 

20.2 Termination by You

You may cease using the Site at any time. If you have registered an account, you may request account closure by contacting us at info@camlfort.com.

 

20.3 Effect of Termination

Upon termination or suspension:

  1. We may delete or deactivate your account and all associated data;

  2. You remain liable for any obligations incurred prior to termination.

 

21. Governing Law and Dispute Resolution

 

21.1 Governing Law

These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of the United Arab Emirates / DIFC Laws / ADGM Laws without giving effect to any principles of conflicts of law that would result in the application of the laws of another jurisdiction.

 

21.2 Jurisdictions

Subject to Section 21.4 below, you irrevocably agree that the courts of Dubai / DIFC Courts / ADGM Courts shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims).

21.3 Waiver of Objections

You irrevocably waive any objection to the venue of such courts on the grounds of:

  • Inconvenient forum (forum non conveniens);

  • Lack of jurisdiction; or

  • Any other basis.

 

22. General Provisions

 

22.1 Entire Agreement

These Terms, together with the Website Documents (Privacy Policy and Cookie Notice), constitute the entire agreement between you and CAMLfort regarding your use of the Site and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to the Site.

22.2 Waiver

No waiver of any provision of these Terms shall be deemed or shall constitute a waiver of any other provision, nor shall any waiver constitute a continuing waiver. CAMLfort's failure to assert any right or provision under these Terms does not constitute a waiver of such right or provision.

You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms, whether voluntarily or by operation of law, without CAMLfort's prior written consent. Any attempted assignment in violation of this section shall be null and void.

 

22.5 CAMLfort's Right to Assign

CAMLfort may freely assign, transfer, or delegate these Terms or any rights or obligations hereunder, in whole or in part, without restriction and without notice to you, including:

  • To any affiliate or subsidiary;

  • In connection with any merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets;

  • To any successor or acquirer of CAMLfort's business.

 

22.6 Force Majeure

CAMLfort shall not be liable for any delay or failure to perform any obligation under these Terms where the delay or failure results from any cause beyond our reasonable control, including but not limited to:

  • War, terrorism, civil unrest, or government action;

  • Strikes, labor disputes, or lockouts;

  • Telecommunications, internet, or hosting failures;

  • Fires, floods, earthquakes, or other catastrophes;

  • Power outages or utility failures;

  • Cyber-attacks or network intrusions are beyond our control.

During any such force majeure event, CAMLfort's obligations shall be suspended for the duration of the event.

22.7.1 Notices to CAMLfort

Notices are deemed given:

  • Three (3) business days after being sent by registered or certified mail, return receipt requested;

  • One (1) business day after being sent by recognized overnight courier service; or

  • When sent by email (if confirmed by return email or other written acknowledgment).

We may provide notices to you:

  • By email to the address you provided;

  • By posting notices on the Site;

  • Through your account dashboard (if applicable);

  • By any other method permitted by law.

You are responsible for ensuring that your contact information is accurate and current.

 

22.8 Relationship of the Parties

No agency, partnership, joint venture, employment, or franchiser-franchisee relationship is intended or created by these Terms. Neither party has any authority to bind the other or to incur any obligation on behalf of the other.

 

22.9 Third-Party Beneficiaries

These Terms are for the sole benefit of you and CAMLfort and are not intended to confer any rights or benefits upon any third party. No third party shall have any right to enforce any provision of these Terms.

Exception: The CAMLfort Parties identified in Section 15 (Limitation of Liability) are intended third-party beneficiaries of the liability limitations and disclaimers in Sections 14, 15, and 16.

 

22.10 Headings and Interpretation

The section and subsection headings in these Terms are for convenience only and shall not affect the interpretation of these Terms. Unless the context requires otherwise:

  • The singular includes the plural and vice versa;

  • References to "including" or "includes" mean "including without limitation";

  • "Or" is not exclusive;

  • References to statutes or regulations include all amendments and replacements.

 

22.11 Language

These Terms are drafted in the English language. If these Terms are translated into any other language, the English version shall prevail in the event of any conflict or ambiguity.

 

22.12 Electronic Signatures and Communications

You consent to receive communications from us electronically. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

These Terms may be executed electronically, and electronic signatures shall have the same force and effect as manual signatures.

22.13 Feedback

If you provide CAMLfort with any feedback, suggestions, comments, or recommendations regarding the Site or our services, you grant CAMLfort a perpetual, irrevocable, worldwide, royalty-free license to use, disclose, and incorporate such Feedback into our products and services without any obligation to you.

 

22.14 Cumulative Rights

All rights and remedies provided in these Terms are cumulative and not exclusive, and the exercise by either party of any right or remedy does not preclude the exercise of any other rights or remedies that may now or subsequently be available at law, in equity, by statute, in any other agreement between the parties, or otherwise.

 

22.15 Time Periods

Unless otherwise specified, all time periods referenced in these Terms shall be calculated in calendar days. If any deadline falls on a weekend or a holiday recognized in the UAE, the deadline shall be extended to the next business day.
